Terms of Service

Version 1.0 · Effective 16 September 2026

Summary, not a substitute. DUEX orchestrates AI coding agents. You bring your own AI provider accounts. Your source code runs on your infrastructure, not ours. There are no refunds — the Free plan exists so you can evaluate first. Abuse ends your account immediately. The full terms below govern.

1. Acceptance

These Terms of Service form a binding agreement between you and DUEX ("we", "us"). By creating an account, signing in, or using the service you confirm that you have read and agree to be bound by all of these terms, together with the Privacy Policy, Cookie Policy and Refund Policy, each incorporated here by reference.

If you do not agree to every part of these documents, do not use DUEX.

If you accept on behalf of an organisation, you confirm you are authorised to bind it, and "you" means that organisation.

You must be at least 18 years old and legally capable of entering into contracts.

United States only. DUEX is offered solely to customers located in the United States. By accepting these terms you represent that you, and any organisation you bind, are located in and operating from the United States.

We do not offer, sell or support the service outside the United States. We may refuse or terminate service where we believe this requirement is not met, and no refund arises. You may not use the service if you are located in, ordinarily resident in, or organised under the laws of any country subject to United States embargo or comprehensive sanctions, or if you appear on any United States restricted-party list.

2. What DUEX is

DUEX is a control plane for coordinating AI coding agents. It plans and dispatches work, enforces policy and budget limits, records evidence, and requires human approval before changes advance. It does not itself generate code.

Code generation is performed by third-party AI providers — such as Anthropic and OpenAI — under your own accounts and their terms, executing on infrastructure you control.

3. Accounts and access

4. Runners and your infrastructure

DUEX work is executed by runner software you install and operate on infrastructure you control. You are solely responsible for:

We do not monitor, control, or take responsibility for your infrastructure, and we cannot verify attestations reported by software running on machines we do not operate.

5. AI providers and your keys

DUEX operates on a bring-your-own-key basis. You supply your own AI provider API keys, which are configured on your runner and are never transmitted to or stored by DUEX.

6. Acceptable use

You must not use DUEX to:

7. Termination for abuse

Any abuse or suspected abuse of the service results in immediate termination without notice.

We may suspend or terminate your account, your runners and your access immediately and without prior notice where we determine, at our sole discretion, that you have breached these terms or that abuse is occurring or reasonably suspected. We are not required to investigate further, provide evidence, or give you an opportunity to remedy before acting.

On termination:

You may cancel at any time. Cancellation takes effect at the end of the current billing period and no refund is given for that period.

8. Fees, billing and refunds

The Free plan is provided so you can evaluate DUEX before paying. Use it.

9. Intellectual property

Yours stays yours. You retain all rights in your code, repositories, prompts, objectives and outputs. We claim no ownership of them and, given the architecture, generally never receive them.

Ours stays ours. DUEX, including the control plane, runner software, playbooks, documentation and branding, remains our property. Subject to these terms we grant you a limited, non-exclusive, non-transferable, revocable licence to use the service and to run the runner software for that purpose. You may not reverse engineer, resell or create derivative works from it except where law permits.

You grant us a limited licence to process the metadata described in the Privacy Policy solely to operate the service.

10. AI output and your responsibility

DUEX exists to make AI output easier to scrutinise. It does not make that output correct, and it does not transfer responsibility for it to us.

11. Disclaimer of warranties

The service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. No advice or information obtained from us creates any warranty not expressly stated here.

12. Limitation of liability

To the fullest extent permitted by law:

Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

13. Indemnity

You will indemnify and hold us harmless against any claim, loss, liability or expense (including reasonable legal fees) arising from your use of the service, your infrastructure, your code, your AI provider accounts, or your breach of these terms.

14. Changes

We may update these terms. Material changes will be notified by email or in the service at least 14 days before they take effect. Continued use after that constitutes acceptance. If you do not accept, stop using DUEX and cancel — no refund arises from a change of terms.

15. Governing law and disputes

These terms are governed by the laws of the State of New York, United States, without regard to conflict-of-laws rules. The state and federal courts located in New York County, New York have exclusive jurisdiction, and both parties submit to that jurisdiction and waive any objection to venue.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Jury trial waiver. To the fullest extent permitted by law, each party waives any right to a trial by jury in any proceeding arising out of these terms.

No class actions. Claims must be brought individually and not as a plaintiff or class member in any purported class or representative proceeding.
